In 2005, PHA Attorneys-at-Law noticed a very specific situation at real estate auctions, in which there was no competition. We were confident and had an efficient thesis, created for the resolution of this specific situation. PHA Attorneys-at-Law assisted in the purchase of hundreds of pieces of real estate, in several different types of auctions.
From this expertise, we expanded our work to extra judicial auctions and to several different manners of acquiring distressed real estate. We can specially point out the assistance in the purchase of mortgage credits by investors for the purchase of a piece of real estate that had more than a million square meters in area, in a bankruptcy estate auction. Such piece of real estate was invaded and it was considered the greatest land conflict in the State of São Paulo. The firm’s work was decisive to reach a settlement that enabled a great financial return for the investors. As another result from this specialized work in Real Estate Law, PHA acquired, in the last 16 years, a broad experience in negotiations between construction companies and land owners, involving land for real estate developments. PHA also works in litigation involving complex real estate issues, be it in court or in arbitration.
Corporate Disputes
PHA Attorneys-at-Law works strategically in corporate disputes, from the pre-litigation stage up to the end of the judicial stage, with great experience in Brazilian judicial and arbitration courts. Corporate litigation is a very specific area, demanding technical knowledge that goes beyond the Law, such as the ones related to the different methods of appraising companies applied by the courts and its specificities. We can state that very few law firms have such expertise. Our history of relevant cases in this area gives us the credentials to be in this group.
In our experience, we noticed that corporate litigations very seldom reach an end. We risk stating that they are always disposed of via settlements. Many times, the biggest objective is to shield the estate from heirs’ spouses. In other times, it is to shield the estate from the squandering by the very heirs. There are many cases in which what is sought is the immediate and easy access to the inherited estate. In this context, PHA Attorneys-at-Law focuses its work in framing the family wishes, with the experience of participating in the estate planning of families that control relevant Brazilian companies, to then suggesting and operationalizing the defined structure.
Strategic Litigation
Litigation is always the result of the failure of a negotiation and the vehicle that brings the parties, again, to an agreement (sometimes inevitably forced). In this legal vastitude, we will try and summarize our work with a success case: Our client, a real estate developer, had a project rejected due to soil contamination, which ended up being from a neighboring manufacturing company of Japanese origin. During the course of the case, this company adopted a procrastinating strategy, tergiversating in the case.
Focusing on the solution to our client’s problem and in the cost of time, we presented a detailed report to the Compliance Department of this company in Japan. This brought us back to the negotiation table. Result: we entered into an extremely advantageous settlement for our client, who had his area acquired by the neighboring company and had a signed commitment for the cleaning of the area. In a nutshell, we believe that many times the end of a case does not only come from an efficient procedural strategy, but also from measures in the administrative sphere that drive the definitive solution of the case.
Government Procurement
For having clients that regularly work in government procurements, PHA Attorney-at-Law is permanently taking part in government procurement processes. Getting involved since the early stages, which come before a government purchase, up to the after contract stage and the resolution of clients that may arise. PHA Attorneys-at-Law has also a broad experience in defending our clients’ interests before Claims Courts and Courts in general, be it to enable the participation in government procurement process or challenging invitations for bids, correcting eventual illegalities, applying contractual fines or even in citizens suits or public-interest civil actions.
